KyndGuard Terms of Service

These terms ("Terms") form a binding agreement between you and KyndGuard("KyndGuard", "we", "us"). They govern your access to and use of the KyndGuard platform, including the web app, mobile apps, and all features made available through them ("Service"). By using the Service, you accept these Terms. If you do not accept them, do not use the Service.

1. Who can use KyndGuard

  • You must be at least eighteen (18) years old.
  • Your use of the Service must comply with all laws that apply to you, including, where applicable, Ontario's Private Security and Investigative Services Act (PSISA).
  • Access to KyndGuard is granted by your security agency or by your service-provider agency, never by direct sign-up. If you do not work for or contract with a licensed agency, you cannot create an account.

2. Your account

  • You are responsible for your account credentials and for activity that happens under your account.
  • Do not share your password. Notify us immediately if you suspect unauthorised access.
  • Information you provide during onboarding must be accurate. Providing false regulatory licence numbers or impersonating another person is grounds for immediate termination.

3. Acceptable use

You agree not to:

  • Use the Service to do anything illegal, harmful, harassing, defamatory, or that violates the rights of others.
  • Upload content you do not have the right to share, or content that contains malware, viruses, or other harmful code.
  • Attempt to gain unauthorised access to any part of the Service, to another organisation's data, or to underlying infrastructure.
  • Reverse engineer, decompile, or otherwise attempt to derive source code, except where this restriction is prohibited by law.
  • Use automated tools to scrape, copy, or harvest data from the Service.
  • Resell, sublicense, or commercially redistribute the Service without our written permission.
  • Falsify records, falsify location, falsify clock-in times, or otherwise manipulate evidentiary records.

4. Content ownership

  • You retain ownership of the content you submit (reports, photos, notes, documents).
  • You grant your agency, and us, a limited licence to host, store, display, and process that content as needed to deliver the Service.
  • For evidentiary records (incident reports, use-of-force reports, vehicle inspections, trespass notices, body-worn camera content), your agency retains a separate operational and legal right to keep, copy, and disclose those records as required by regulators, insurers, courts, and law enforcement.
  • You may not remove information that an agency or regulator has a legal obligation to retain.

5. Agency administration

If you are a guard or client invited by a security agency, you understand that:

  • Your agency administrator may view, edit, archive, or delete your records within the platform.
  • Your agency administrator may revoke your access at any time.
  • Your agency administrator is responsible for the lawful collection and use of your data inside their KyndGuard organisation. We provide the tools; the agency operates them.
  • Disputes about access, scheduling, payment, or employment are between you and your agency. KyndGuard is not the employer of record.

6. Service availability

We work hard to keep the Service reliable and online, but we do not guarantee uninterrupted operation. We may pause or limit access for maintenance, security, or other operational reasons. We may modify or discontinue features with reasonable advance notice; in-app announcements at least fourteen days before a material change are sufficient notice.

7. Beta and AI features

The KyndGuard shift-assistant AI, auto-generated end-of-shift handoffs, and similar artificial-intelligence features generate text suggestions from your shift activity. These suggestions may be inaccurate or incomplete. They are intended as drafts to assist decision-making; you and your agency remain responsible for verifying the accuracy of any report, dispatch, or communication before it is acted on or filed with a regulator, insurer, or court.

8. Subscriptions and fees

Pricing is set in a separate agreement between KyndGuard and each agency tenant. Guards and clients invited to KyndGuard by an agency do not pay KyndGuard directly. If you are an agency tenant, the commercial terms in your subscription agreement take precedence over these Terms where they conflict.

9. Suspension and termination

We may suspend or terminate your access if:

  • You violate these Terms or applicable law.
  • Your agency directs us to revoke your access.
  • Your activity puts other users, the platform, or third parties at risk.
  • An invitation is withdrawn before you complete onboarding.

You may stop using the Service at any time. To request deletion of your personal information, see the Privacy Policy.

10. Disclaimers

The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

KyndGuard does not dispatch emergency services. In a life-threatening emergency, always call 911 (or the equivalent local emergency number) directly. The SOS feature notifies your agency administrator and supervisors; it does not contact police, fire, or paramedic services.

11. Limitation of liability

To the maximum extent permitted by law, neither KyndGuard nor any of its officers, employees, or sub-processors will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill arising out of or in connection with the Service. Our total aggregate liability for any claim arising under these Terms will not exceed the fees paid to us by your agency tenant in the twelve months preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100) if no fees were paid in that period.

12. Indemnity

You will indemnify and hold harmless KyndGuard from claims arising out of (a) your violation of these Terms, (b) your violation of any law, or (c) content you submit that infringes another party's rights. This section does not apply to claims arising from our own gross negligence or wilful misconduct.

13. Changes to these Terms

We may update these Terms as the Service evolves. Material changes will be announced in-app at least fourteen (14) days before they take effect. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not accept an update, stop using the Service.

14. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the courts of Windsor-Essex County, Ontario, unless mandatory law requires otherwise.
